Yes, under the Companies Act 2017, it is possible to convert a Single Member Company (SMC) into a private company. The process for this conversion is outlined in Section 47 of the Act. The key steps and requirements for this conversion are as follows:

  1. Special Resolution and Amendments: The company must pass a special resolution to amend its memorandum and articles of association. These amendments should include provisions applicable to a private company and exclude those specifically required for an SMC. The amendments must ensure compliance with all specified requirements.
  2. Application to the Commission: An application for the change in status must be submitted to the Securities and Exchange Commission of Pakistan (SECP). The application should demonstrate that the company meets the criteria for conversion from an SMC to a private company.
  3. Approval from the Commission: If the SECP is satisfied that the company is entitled to be converted, it will grant approval through an official order in writing. This order confirms the change in status of the company.
  4. Filing and Registration: A copy of the SECP’s order, duly certified, must be forwarded to the company and the registrar within seven days from the date of the order. The company is then required to file the altered memorandum and articles of association with the registrar within fifteen days from the date of the order. The registrar will register the documents, and from that point, the company will operate under the newly registered memorandum and articles.
  5. Effect of Alteration: The company ceases to be an SMC on the date of the alteration, and the newly filed memorandum and articles become the official governing documents of the private company.
  6. Penalties for Non-Compliance: If the company or any officer fails to comply with these provisions, they are liable to a penalty not exceeding Level 2 on the standard scale.

This conversion process ensures that the transition from an SMC to a private company is done in accordance with the legal requirements, thereby maintaining regulatory compliance and operational continuity.
